1. Acceptance of These Terms

By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy (defined below). If you do not agree, do not use the Site.

If you are using the Site on behalf of an entity, you represent and warrant that you have authority to bind that entity, and "you" refers to that entity.

2. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last Updated" date above. Your continued use of the Site after changes become effective constitutes acceptance of the revised Terms.

3. Privacy Policy

Our privacy practices are described in our Privacy Policy, available at: https://www.precisionx.tech/privacy (the "Privacy Policy"). The Privacy Policy is incorporated into these Terms by reference. If there is a conflict between these Terms and the Privacy Policy regarding personal information, the Privacy Policy controls.

4. Scope of the Site; No Services Provided Under These Terms

The Site may provide information about PrecisionX, our capabilities, announcements, thought leadership, marketing materials, contact forms, and other general content.

The Site is provided for informational purposes and general communication only. No professional, technical, engineering, security, legal, or compliance advice is provided through the Site, and you should not rely on Site content as a substitute for advice tailored to your circumstances.

Services Disclaimer: Any services (including consulting, implementation, managed services, software access, subscriptions, support, security services, or other deliverables) are provided only under a separately executed MSA and applicable Service Orders. These Terms do not create a services relationship and do not impose service-level commitments, uptime commitments, support obligations, or deliverable obligations.

5. Eligibility

You must be at least the age of majority in your jurisdiction to use the Site. By using the Site, you represent and warrant that you meet this requirement.

6. Permitted Use; Prohibited Conduct

6.1 Permitted Use

You may use the Site only for lawful purposes and in accordance with these Terms.

6.2 Prohibited Conduct

You agree not to, and not to attempt to:

• Access or use the Site in any way that violates applicable law or regulation.
• Reverse engineer, decompile, disassemble, or attempt to derive source code from the Site or any related technology, except to the extent prohibited by law.
• Interfere with, disrupt, or degrade the integrity or performance of the Site (including by introducing malware, exploiting vulnerabilities, or performing denial-of-service attacks).
• Use automated means (bots, scrapers, spiders) to access the Site except as permitted by applicable law and consistent with industry-standard robots instructions.
• Attempt to gain unauthorized access to any portion of the Site, systems, networks, or accounts.
• Use the Site to transmit unlawful, infringing, defamatory, harassing, obscene, or otherwise harmful material.
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity.

We may take appropriate action for violations, including suspending or blocking access to the Site.

7. Intellectual Property; Limited License

The Site and all content on or made available through the Site—including text, graphics, logos, icons, images, audio/video, designs, compilations, software, and the selection and arrangement thereof—are owned by PrecisionX or its licensors and are protected by intellectual property laws.

Subject to your compliance with these Terms, PrecisionX grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your internal, lawful informational purposes. No other rights are granted, and all rights not expressly granted are reserved.

"PrecisionX" and related marks, logos, and trade dress are trademarks of PrecisionX or its licensors. Nothing in these Terms grants you any right to use any PrecisionX trademarks without prior written permission.

8. User Submissions (Contact Forms, Inquiries, Feedback)

If the Site allows you to submit content (e.g., through a contact form, inquiry, feedback submission, or job application) ("Submissions"), you represent and warrant that:

• Your Submissions are accurate to the best of your knowledge.
• You have all rights necessary to provide the Submissions.
• Your Submissions do not violate law or infringe any third-party rights.

Unless otherwise agreed in writing, you grant PrecisionX a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your Submissions for the purpose of responding to you and operating and improving the Site and our business communications. Do not submit confidential information through the Site unless and until a separate written agreement (e.g., NDA, MSA) is in place.

9. Third-Party Websites and Services

The Site may contain links to third-party websites or services. PrecisionX does not control and is not responsible for third-party content, policies, or practices. Links are provided for convenience and do not imply endorsement. Your use of third-party sites is at your own risk.

10. Disclaimers

THE SITE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECISIONX DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, PRECISIONX DOES NOT WARRANT THAT:

• THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
• DEFECTS WILL BE CORRECTED;
• THE SITE OR SERVER(S) ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR
• ANY CONTENT IS ACCURATE, COMPLETE, OR CURRENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PRECISIONX OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRECISIONX'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless PrecisionX and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Site, (b) your violation of these Terms, or (c) your Submissions or alleged infringement/misappropriation of any third-party rights.

13. Suspension and Termination

PrecisionX may, in its sole discretion, suspend, restrict, or terminate your access to the Site at any time and for any reason, including if we believe you have violated these Terms or pose a security risk.

Sections that by their nature should survive termination will survive, including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law/Dispute Resolution.

14. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Venue/Jurisdiction: Any dispute arising out of or relating to these Terms or the Site will be brought exclusively in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.

15. International Use; Export Controls

The Site is controlled and operated from the United States. If you access the Site from outside the United States, you are responsible for compliance with local laws. You agree not to use the Site in violation of U.S. export control or sanctions laws.

16. Electronic Communications

By using the Site or contacting us through the Site, you consent to receive communications from us electronically. We may provide notices by posting them on the Site or by emailing you at an address you provide.

17. Miscellaneous

Entire Agreement (Website Only): These Terms and the Privacy Policy constitute the entire agreement between you and PrecisionX regarding the Site.

Order of Precedence for Services: If you have an MSA and Service Order(s) with PrecisionX, those documents govern the services relationship and will control in the event of any conflict with these Terms as to services.

Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.

No Waiver: Failure to enforce any provision is not a waiver.

Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.

Headings: Headings are for convenience and do not affect interpretation.
